These Terms of Use (“Terms”) govern your access to and use of https://visionruya.com (the “Website”) and your purchase of products offered through the Website.

The Website and the products offered through it are operated and sold by:

In these Terms, “VisionRuya,” “we,” “us,” and “our” refer to Siman FZC LLC. “You” and “your” refer to the person accessing the Website or purchasing a product.

Please read these Terms carefully before using the Website or placing an order. By accessing or using the Website, creating an account, or placing an order, you agree to these Terms.

If you do not agree to these Terms, please do not use the Website or purchase products from us.

Nothing in these Terms limits or excludes any consumer rights that cannot lawfully be limited or excluded under applicable law.

These policies form part of the terms applicable to your use of the Website and purchases from VisionRuya.

If there is any conflict between these Terms and a mandatory right provided by applicable consumer law, the mandatory consumer right will prevail.

2. Eligibility

You must be legally capable of entering into a binding contract to place an order.

If you are under the age of majority in your country or jurisdiction, you may use the Website and place an order only with the permission and supervision of a parent or legal guardian.

By placing an order, you confirm that:

The information you provide is accurate and complete;
You are authorised to use the payment method selected; and
You are legally capable of entering into the purchase.

The Website and our products must not be used for unlawful, fraudulent, or unauthorised purposes.

3. Website and product information

We take reasonable care to ensure that product descriptions, photographs, prices, availability, measurements, and other information displayed on the Website are accurate.

However:

Colours may appear differently depending on your screen, device, or display settings;
Product packaging or presentation may change from time to time;
Images may include props or decorative items that are not included with the product;
Minor manufacturing variations may occur; and
Measurements, colours, finishes, or other visual characteristics may be approximate unless expressly stated otherwise.

We may correct genuine typographical, pricing, technical, or administrative errors when identified.

Nothing in this section limits your rights where a product is defective, materially differs from its advertised description, or information provided about it is misleading.

4. Products

VisionRuya sells physical planning, stationery, and related lifestyle products, including the Vision — 120 Days of Becoming planner and related products or accessories.

The contents, features, dimensions, materials, and other relevant details of each product or product set are described on the applicable product page.

Please review the complete product description before placing your order.

Our planning products and any related written content are intended for personal planning, reflection, organisation, education, and general informational purposes.

They do not constitute medical, psychological, financial, legal, therapeutic, or other professional advice and are not intended as a substitute for advice or services provided by a qualified professional.

We do not guarantee that using a planner, framework, exercise, method, or other VisionRuya product will produce any particular personal, professional, financial, academic, health, or wellbeing outcome.

5. Prices and currencies

Product prices are displayed in the currency shown or selected on the Website.

Prices may:

Include or exclude applicable taxes depending on the destination and information displayed at checkout;
Change from time to time; and
Differ between currencies because of exchange rates, conversion costs, taxes, payment-processing arrangements, or regional pricing.

The price applicable to your order is the price displayed and confirmed during checkout when the order is submitted, subject to the correction of an obvious pricing or technical error.

Any changes to prices will not affect an order that we have already accepted, except where permitted or required by applicable law.

Your bank, card issuer, or payment provider may charge currency-conversion fees, international-transaction fees, or other charges. These charges are determined by the relevant provider and are outside VisionRuya’s control.

6. Taxes, customs, and import charges

Depending on the delivery destination, an order may be subject to:

Value-added tax or similar taxes;
Customs duties;
Import taxes;
Customs-clearance or brokerage charges; or
Other government-imposed fees.

Where available, checkout will indicate whether applicable taxes, duties, or similar charges are included in the amount payable to VisionRuya.

Unless expressly stated otherwise at checkout, the customer is responsible for customs duties, import taxes, and other local charges imposed by the destination country or its authorities.

International orders may be subject to customs inspections or clearance procedures that can affect delivery times.

VisionRuya is not responsible for delays caused solely by customs or government authorities where those circumstances are outside our reasonable control. This does not limit any mandatory rights available to you under applicable law.

7. Placing an order

To place an order, you must follow the checkout process displayed on the Website and provide the requested information.

Before submitting the order, you are responsible for checking:

The products and quantities selected;
Your delivery address;
Your billing information where applicable;
Your contact information;
The selected delivery method; and
The total amount payable.

After you submit an order, you may receive an electronic acknowledgement or order confirmation.

An acknowledgement that we have received your order does not necessarily mean that the order has been accepted.

A binding sales contract is formed when we:

Confirm that your order has been accepted;
Confirm that your order has been dispatched; or
Otherwise expressly communicate acceptance of the order.

We may decline or cancel an order before acceptance for legitimate reasons, including where:

A product is unavailable;
Payment cannot be authorised or completed;
The transaction appears fraudulent or unauthorised;
Delivery is unavailable to the selected destination;
Materially incorrect or incomplete information was provided;
An obvious pricing, inventory, or product-description error occurred;
A purchase limit has been exceeded; or
We are legally prohibited from completing the transaction.

If we cancel an order after receiving payment, the amount paid for the cancelled items will be refunded using the original payment method unless another method is agreed or required by law.

Where applicable, order and transaction documentation may be provided electronically.

8. Payment

The payment methods currently available to you are displayed during checkout.

Payments may be processed by banks, card networks, digital-payment providers, payment gateways, or other authorised payment-service providers.

By submitting payment information, you confirm that:

The information you provide is accurate;
You are authorised to use the selected payment method; and
VisionRuya and its payment providers may process the transaction for the purpose of completing your purchase.

Transactions may be subject to authorisation, verification, fraud prevention, and security checks.

If payment is declined, reversed, cancelled, or cannot be verified, we are not required to dispatch the order until valid payment has been successfully received.

VisionRuya does not ordinarily receive or store your complete payment-card number or card security code where payment is processed directly by a third-party payment provider.

Information relating to payments and transactions is handled as described in our Privacy Policy and by the applicable payment provider under its own terms and privacy practices.

9. Fraud prevention and order verification

We may use reasonable automated or manual measures to detect and prevent fraudulent, unauthorised, abusive, or suspicious transactions.

Where reasonably necessary, we may request additional information to verify:

Your identity;
Your billing or delivery information;
Your authority to use a payment method; or
The legitimacy of a transaction.

We may temporarily delay, decline, or cancel a transaction where we reasonably suspect fraud, unlawful activity, misuse, unauthorised payment, or a material security risk.

Any personal information collected for verification or fraud-prevention purposes will be handled in accordance with our Privacy Policy and applicable law.

10. Shipping and delivery

VisionRuya ships to the destinations made available through the Website.

Available shipping destinations, delivery options, estimated delivery periods, and shipping charges may be displayed on the Website, product page, Shipping Policy, or during checkout.

Unless expressly stated to be guaranteed, delivery dates and delivery periods are estimates.

Delivery may be affected by circumstances outside our reasonable control, including:

Courier or postal delays;
Customs processing;
Severe weather;
Transport interruptions;
Public holidays;
Government restrictions;
Incorrect or incomplete delivery details; or
Other events beyond our reasonable control.

You are responsible for providing a complete and accurate delivery address and contact information.

If you discover an error in your delivery information after placing an order, please contact us as soon as possible at contact@visionruya.com.

We cannot guarantee that an address can be changed after an order has been processed or dispatched.

If an order is returned to us because the delivery information provided was incorrect or incomplete, or because the delivery was refused or remained unclaimed, reasonable return or redelivery costs may apply where permitted by law.

Nothing in these Terms removes or limits any responsibility that applicable law places on VisionRuya in relation to delivery.

11. Damaged, defective, missing, or incorrect products

Please inspect your order after delivery.

Your product arrives damaged;
Your product is defective;
Part of your order is missing;
You receive an incorrect product; or
The product materially differs from its advertised description.

When contacting us, please provide your order number, a description of the issue, and clear photographs or other reasonable supporting information where appropriate.

Where a product is defective, damaged, incomplete, incorrectly supplied, materially misdescribed, or otherwise gives rise to a remedy under applicable law, VisionRuya will provide the remedy required under applicable law.

Depending on the circumstances, this may include replacement, refund, or another legally appropriate solution.

These rights are separate from any voluntary return rights offered by VisionRuya.

12. Returns and refunds

Returns, exchanges, and refunds are governed by our Refund & Return Policy, which forms part of these Terms.

Please review that policy before making a purchase.

Where VisionRuya offers a voluntary return period, the applicable period and return conditions will be stated in the Refund & Return Policy.

Voluntary return conditions do not limit rights you may have under applicable consumer-protection law where a product is defective, damaged, incomplete, incorrectly supplied, materially misdescribed, or otherwise legally eligible for return, replacement, or refund.

Unless otherwise required by law or agreed with you, approved refunds will normally be issued to the original payment method.

After VisionRuya processes a refund, your bank, card issuer, or payment provider may require additional time to credit the funds to your account.

13. International consumer rights

If you purchase from VisionRuya from outside the United Arab Emirates, mandatory consumer rights applicable in your country of residence may apply to your purchase.

For example, consumers in certain jurisdictions, including the European Union, European Economic Area, and United Kingdom, may have statutory rights relating to distance purchases, including cancellation rights for certain eligible products.

These rights may be subject to conditions, time limits, and exceptions provided by the applicable law.

Nothing in these Terms is intended to exclude or restrict mandatory consumer rights that legally apply to your purchase and cannot be excluded by contract.

Where mandatory local consumer law gives you rights that are more favourable than a voluntary VisionRuya policy, those mandatory rights will apply.

14. Promotions and discount codes

From time to time, VisionRuya may offer promotions, discounts, promotional codes, competitions, bundles, or other special offers.

Additional terms may apply and will be communicated with the applicable promotion.

Unless expressly stated otherwise:

Promotional codes have no cash value;
Only one promotional code may be used per order;
A code must be used before its stated expiry date;
A code cannot normally be applied retrospectively after an order has been placed;
A promotion may apply only to selected products, customers, countries, or delivery locations; and
Promotions may not be combined with other offers.

We may cancel, refuse, suspend, or correct a promotion where reasonably necessary because of fraud, misuse, technical error, or an obvious pricing or promotional error.

This will not affect an order already accepted except where permitted or required by law or expressly provided in the applicable promotional terms.

15. Customer accounts

The Website may allow you to create a customer account.

Account features may include access to previous orders, saved information, or other services made available by VisionRuya.

You are responsible for:

Providing accurate and current information;
Maintaining the confidentiality of your password;
Restricting unauthorised access to your device or account; and
Informing us promptly if you reasonably believe your account has been accessed without permission.

You must not:

Impersonate another person;
Create an account using deliberately false or misleading information;
Access another person’s account without permission; or
Use an account for fraudulent or unlawful purposes.

We may suspend, restrict, or close an account where we reasonably believe it is being used unlawfully, fraudulently, in a manner that creates a security risk, or in material violation of these Terms.

Closing an account does not remove obligations or liabilities that arose before closure.

16. Reviews and submitted content

You may have opportunities to submit reviews, testimonials, photographs, comments, suggestions, feedback, or other content to VisionRuya.

By submitting content, you confirm that:

You created the content or have permission to provide it;
The content is accurate to the best of your knowledge;
The content does not infringe another person’s intellectual-property, privacy, or other legal rights;
The content is not unlawful, defamatory, threatening, deceptive, discriminatory, abusive, or obscene; and
The content does not contain malware, malicious code, spam, or unauthorised advertising.

You retain ownership of content that you create.

Where you voluntarily submit content for publication or promotional use, you grant VisionRuya a worldwide, non-exclusive, royalty-free licence to reproduce, format, adapt for technical or presentation purposes, display, communicate, and share that content in connection with operating and promoting VisionRuya, subject to applicable law.

We may moderate, decline, restrict, or remove submitted content where reasonably necessary.

We are not required to publish every submission.

Personal information associated with submitted content will be handled in accordance with our Privacy Policy.

17. Intellectual property

The Website and its content, including the VisionRuya name, branding, logos, planner layouts, written materials, graphics, photographs, videos, illustrations, product designs, digital materials, and Website design, are owned by or licensed to Siman FZC LLC and are protected by applicable intellectual-property laws.

We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Website for your personal, lawful, and non-commercial use.

Except where permitted by law or with our prior written permission, you may not:

Copy, reproduce, republish, distribute, sell, licence, or commercially exploit our protected content;
Reproduce or manufacture products based on our protected product designs or layouts;
Remove copyright, trademark, or other ownership notices;
Use VisionRuya branding or trademarks in a way that falsely suggests endorsement, sponsorship, partnership, or affiliation;
Systematically scrape, copy, or extract Website content;
Frame or mirror substantial portions of the Website; or
Create commercial derivative products based on protected VisionRuya materials.

Nothing in these Terms transfers ownership of VisionRuya intellectual property to you.

18. Prohibited uses

You must not use the Website:

For an unlawful, fraudulent, or deceptive purpose;
In violation of another person’s rights;
To provide false payment, identity, account, or delivery information;
To interfere with the operation or security of the Website;
To introduce malware, viruses, or other harmful technology;
To attempt unauthorised access to accounts, systems, networks, or data;
To use unauthorised automated tools to scrape, crawl, or systematically extract Website information;
To distribute spam or unauthorised commercial communications;
To manipulate reviews, discounts, promotions, checkout systems, or pricing;
To engage in fraudulent chargebacks or payment abuse;
To resell or represent VisionRuya products in a false, deceptive, or unauthorised manner; or
In any manner that could unlawfully damage VisionRuya, its customers, or its service providers.

Where reasonably appropriate, we may restrict Website access, suspend accounts, cancel affected transactions, or pursue other remedies available to us under applicable law.

The Website may contain links to or integrations with third-party services, including payment providers, social-media platforms, analytics services, marketing tools, delivery companies, and other technology providers.

Where a third-party service is not controlled by VisionRuya, we are not responsible for that service’s independent content, availability, security, terms, or privacy practices.

Your use of a third-party service may be governed by the provider’s own terms and privacy policy.

The inclusion of a third-party link or integration does not necessarily mean that VisionRuya endorses every product, service, opinion, or statement made by that third party.

20. Website availability and changes

We aim to maintain a functional and secure Website but do not guarantee that access will always be uninterrupted or error-free.

We may temporarily suspend, restrict, modify, or update the Website for reasons including:

Maintenance;
Security;
Technical problems;
Software updates;
Operational changes; or
Events outside our reasonable control.

We may change or discontinue Website features from time to time.

Any such changes will not affect orders that have already been accepted or mandatory rights that have already arisen.

21. General informational disclaimer

To the maximum extent permitted by applicable law, general content on the Website is provided for informational purposes and on an “as available” basis.

We do not guarantee that:

The Website will always be available without interruption;
Every technical error will be corrected immediately;
General Website content will meet every individual’s particular needs; or
Use of VisionRuya products, methods, prompts, or planning systems will produce a particular result.

Nothing in these Terms excludes any warranty, guarantee, representation, obligation, or consumer right that cannot legally be excluded.

22. Limitation of liability

Nothing in these Terms excludes or limits liability where doing so would be unlawful.

This includes liability that cannot legally be excluded or limited in relation to:

Fraud or fraudulent misrepresentation;
Death or personal injury caused by negligence where applicable;
Defective products where liability cannot lawfully be excluded;
Intentional misconduct or gross negligence where applicable; or
Mandatory consumer rights.

Subject to those protections and to the maximum extent permitted by applicable law, VisionRuya is not responsible for losses that:

Were not reasonably foreseeable when the relevant contract was formed;
Result from improper or unintended use of a product;
Result from inaccurate information provided by you;
Result solely from circumstances outside our reasonable control; or
Constitute business or commercial losses where the product was purchased primarily as a consumer product.

If you purchase a product primarily for business or commercial purposes, VisionRuya will not be responsible for indirect commercial losses, loss of profit, loss of revenue, loss of business opportunity, or similar consequential business loss, except where such liability cannot legally be excluded.

This section applies only to the maximum extent permitted by applicable law.

23. Your responsibility for unlawful conduct

To the extent permitted by law, you are responsible for reasonable losses, liabilities, damages, or costs directly resulting from your:

Fraudulent or unlawful use of the Website;
Deliberate and material violation of these Terms;
Infringement of another person’s intellectual-property rights; or
Submission of content that you had no lawful right to provide.

This section does not make you responsible for losses caused by VisionRuya or impose obligations that applicable consumer law does not permit.

24. Events outside our reasonable control

VisionRuya will not be responsible for a delay or failure to perform an obligation where the delay or failure results from circumstances outside our reasonable control.

Such circumstances may include:

Natural disasters;
Severe weather;
War or civil disturbance;
Epidemics or public-health emergencies;
Government action;
Customs interruption;
Labour or transport disruption;
Telecommunications or technology outages;
Widespread payment-network failures; or
Similar events outside our reasonable control.

Where reasonably possible, we will take appropriate steps to reduce the effect of the event and resume performance.

Any mandatory rights relating to delayed delivery, cancellation, refund, or other remedies remain unaffected.

25. Governing law and disputes

These Terms, the Website, and purchases made from VisionRuya are governed by the applicable laws of the United Arab Emirates.

Disputes will be subject to the jurisdiction of the competent courts of the United Arab Emirates in accordance with applicable law.

Nothing in this section limits:

Any mandatory consumer-protection rights that apply to you;
Any jurisdictional rights that cannot legally be excluded by contract; or
Any right to use a consumer complaint or dispute-resolution mechanism available under applicable law.

Nothing in these Terms prevents you from making a complaint to an appropriate consumer-protection or regulatory authority.

26. Changes to these Terms

We may update these Terms from time to time to reflect changes to:

Our products or services;
The Website or checkout process;
Our business practices;
Technology or payment arrangements; or
Applicable legal or regulatory requirements.

When we update these Terms, we will publish the revised version on this page and update the “Last updated” date.

Changes will not normally apply retrospectively to an order that was already accepted before the change unless required by applicable law or agreed with you.

27. Severability

If any provision of these Terms is found by a competent authority or court to be unlawful, invalid, or unenforceable, that provision will be limited or removed only to the extent necessary.

The remaining provisions will continue in effect.

If VisionRuya does not immediately exercise or enforce a right or provision under these Terms, that does not mean that we have waived that right.

These Terms, together with the policies, product information, and other conditions expressly incorporated into them, form the agreement between you and VisionRuya concerning your use of the Website and purchase of products.

Nothing in this section excludes any representation, obligation, or consumer right that cannot legally be excluded.
